Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Mendy Black and associated businesses, including MEB Events, Bargain Bougie Travel, and Rosedale Travel (collectively, "we," "us," or "our"). These Terms govern your access to and use of our websites, services, content, and any related offerings.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Overview of Services

Mendy Black operates three distinct business services:

MEB Events

Corporate event planning, festival production, executive retreat coordination, business travel optimization consulting, and event strategy services.

Bargain Bougie Travel

Educational content, consulting, and workshops focused on credit card rewards optimization and travel strategy. This service provides information and guidance but does not book travel on behalf of clients.

Rosedale Travel

Full-service luxury travel planning and booking services provided as an independent contractor affiliated with Rosedale Travel. Travel bookings are subject to additional terms and conditions from Rosedale Travel and travel suppliers.

Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.

If you are using our services on behalf of an organization or business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Service Agreements and Contracts

General Services

Use of our websites and general information does not create a client relationship. A formal client relationship is established only when:

  1. We provide you with a written proposal or service agreement

  2. You accept the proposal or sign the service agreement

  3. Any required deposits or payments are received

Event Planning Services (MEB Events)

Event planning services are provided under separate service agreements or contracts that outline:

  • Scope of services

  • Timeline and deliverables

  • Fees and payment terms

  • Cancellation and refund policies

  • Liability limitations

  • Force majeure provisions

These service agreements supersede these general Terms for contracted event services.

Travel Planning Services (Rosedale Travel)

Travel planning services are subject to:

  • These Terms of Service

  • Rosedale Travel's Terms and Conditions

  • Individual travel supplier terms and conditions (airlines, hotels, tour operators, etc.)

  • Payment and cancellation policies specific to each booking

Consulting and Educational Services (Bargain Bougie Travel)

Consulting, workshops, and educational services are subject to registration terms provided at the time of purchase and these Terms of Service.

Fees and Payment

Service Fees

Fees for our services vary based on the scope, complexity, and type of service provided. All fees will be outlined in writing before services commence.

Payment Terms

  • Payment terms will be specified in individual service agreements or proposals

  • Typical payment structures may include deposits, milestone payments, or full payment upon completion

  • Late payments may be subject to interest charges or late fees as specified in the service agreement

  • We reserve the right to suspend or terminate services for non-payment

Travel Bookings (Rosedale Travel)

  • Travel planning services through Rosedale Travel are compensated through supplier commissions

  • Clients pay suppliers directly for travel services (hotels, airlines, tours, etc.)

  • Supplier payment terms, cancellation policies, and refund policies apply to all bookings

  • We are not responsible for charges, fees, or policies imposed by travel suppliers

Third-Party Payment Processors

We use third-party payment processors to handle transactions. Your payment information is subject to the privacy policies and terms of these processors. We do not store your complete payment card information on our servers.

Cancellations and Refunds

Event Services Cancellation

Cancellation policies for event planning services will be outlined in individual service agreements and may include:

  • Deposits are typically non-refundable

  • Cancellation fees based on timing and work completed

  • Refunds for services not yet rendered (minus applicable cancellation fees)

Travel Booking Cancellations (Rosedale Travel)

  • Travel bookings are subject to the cancellation and refund policies of individual suppliers

  • Cancellation policies vary by supplier and may include penalties or non-refundable amounts

  • Travel insurance is strongly recommended to protect against unforeseen cancellations

  • We will assist with cancellation processing but cannot guarantee refunds from suppliers

Educational Services and Workshops

  • Cancellation and refund policies will be specified at the time of registration

  • Generally, cancellations made [X days] prior to the event may receive a partial refund

  • No-shows are typically non-refundable

Intellectual Property Rights

Our Content

All content on our websites, including but not limited to text, graphics, logos, images, videos, software, and design elements, is the property of Mendy Black or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, reproduce, distribute, or create derivative works from our content without permission

Limited License

Event Services: We are not liable for:

Travel Services: We are not liable for:

  • Travel supplier failures, cancellations, or delays

  • Travel disruptions due to weather, political events, or emergencies

  • Lost or delayed baggage

  • Changes in travel restrictions or entry requirements

Educational Services: We are not liable for:

  • Credit card application denials

  • Changes in credit card rewards programs or policies

  • Financial losses or credit score impacts

  • Individual results or outcomes from implementing strategies

Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Mendy Black, MEB Events, Bargain Bougie Travel, Rosedale Travel, and our affiliates, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of our services

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your provision of false or misleading information

  • Your negligent or wrongful conduct

Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God (natural disasters, severe weather, earthquakes, floods)

  • Pandemics, epidemics, or public health emergencies

  • Government actions, laws, or regulations

Testimonials and Marketing

Use of Testimonials

Photo and Video Release

For event services, you grant us permission to photograph or video record events we manage and use such materials for promotional purposes, unless you expressly opt out in writing.

Client Logos

With your permission, we may display your company logo or name as a client reference in our marketing materials.

You may withdraw permission for use of your testimonials, photos, or logo at any time by contacting us in writing.

Communication and Electronic Signatures

Electronic Communications

By using our services, you consent to receive electronic communications from us, including:

  • Contract documents and agreements

You agree that electronic communications satisfy any legal requirement that communications be in writing.

Travel-Specific Terms (Rosedale Travel)

Travel Documents and Requirements

You are responsible for:

  • Obtaining and maintaining valid passports

  • Securing necessary visas and entry permits

  • Meeting health requirements (vaccinations, tests, etc.)

  • Verifying travel restrictions and requirements

  • Obtaining appropriate travel insurance

Travel Insurance

We strongly recommend purchasing comprehensive travel insurance to protect against trip cancellations, interruptions, medical emergencies, and other unforeseen circumstances. We are not responsible for losses that could have been covered by insurance.

Travel Advisories

You are responsible for reviewing and complying with government travel advisories, warnings, and restrictions. We are not liable for travel to destinations with active advisories.

Supplier Responsibility

Travel suppliers (airlines, hotels, cruise lines, tour operators) are independent contractors. We act as an intermediary and are not responsible for their actions, omissions, or failures.

Price Changes

Travel prices are subject to change until fully paid and confirmed. We will notify you of any price changes before finalizing bookings, but we are not responsible for supplier price increases.

Termination

Our Right to Terminate

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for:

  • Violation of these Terms

  • Fraudulent or illegal activity

  • Abusive or inappropriate conduct

  • Non-payment of fees

  • Any reason at our sole discretion

Your Right to Terminate

You may terminate your use of our services at any time, subject to:

  • Cancellation policies in service agreements

  • Payment obligations for services rendered

  • Supplier cancellation policies (for travel bookings)

Effect of Termination

Upon termination:

  • Your right to use our services immediately ceases

  • You remain liable for any outstanding fees or obligations

  • Provisions of these Terms that by their nature should survive (including limitation of liability, indemnification, and dispute resolution) will continue to apply

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website

  • Updating the "Last Updated" date

  • Sending email notification (for significant changes)

Your continued use of our services after any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using our services.

Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Informal Resolution

Before pursuing formal legal action, you agree to first contact us to attempt to resolve any dispute informally. We will work in good faith to resolve disputes amicably.

Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or our services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Arbitration Terms:

  • Arbitration will be conducted in Austin, Texas

  • The arbitrator's decision will be final and binding

  • Each party will bear its own costs and fees

  • Arbitration will be conducted on an individual basis (no class actions)

Exceptions to Arbitration

Either party may seek relief in court for:

  • Intellectual property disputes

  • Claims of infringement or misappropriation

  • Requests for injunctive or equitable relief

Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

Jurisdiction and Venue

If arbitration does not apply or is found unenforceable, you agree that any legal action shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction in these courts.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while reflecting the parties' original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and us regarding your use of our services and supersede all prior agreements, understandings, and communications.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative.

Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, at any time without restriction.
